Terms and Conditions

WonderFi Technologies Inc. (“WonderFi”, “we”, “us” and terms of similar meaning) provides the Bitcoin.ca site (the “Site”, located at www.Bitcoin.ca) to you subject to these terms and conditions (these “Terms”).  

Before accessing or using the Site, you must agree to these Terms and our Privacy Policy (as defined below). By accessing and using the Site, you agree to be legally bound by these Terms and all policies and guidelines incorporated by reference in these Terms. You also affirm that you are the legal age of majority under applicable law in Canada. If you do not agree to these Terms, you may not use the Site.

  1. Changes to the Terms and Conditions and Policies

WonderFi reserve the right, in our sole discretion to change, modify, replace, add or suspend portions of these Terms and any other relevant policies at any time by posting the amended terms on the Site. If you continue to access the Site after the amended terms are posted, you will be deemed to have accepted such changes through your continued use. If at any point you do not agree with our Terms, Privacy Policy, or any other policy, code of conduct or rules we may have at that time, your licence to use the Site shall immediately terminate and you must immediately stop accessing or using the Site.

  1. Privacy Policy

By accessing the Site and submitting your personal information, you consent to the collection, use, transmission and disclosure of your personal information in accordance with our privacy policy (“Privacy Policy”), found here.

  1. Accounts

You may browse the Site without registering for a user account. When providing information to the Site, you agree to provide accurate, full and complete information as prompted.

If you access the Site through a social media account or any Third-Party Sites (as defined below), you acknowledge and agree that WonderFi may access, store and use content from your social media account or Third-Party Sites in accordance with the permissions you grant to us.

  1. Intellectual Property Rights and Ownership

You understand and agree that the Site and its entire contents, features, and functionality, including, but not limited to, all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by WonderFi, our licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights. Any use of the Site not expressly permitted by these terms and conditions is a breach of these Terms and may infringe or violate copyright, trademark, and other intellectual property or other proprietary laws.

The WonderFi name, WonderFi logo and all related names, logos, product and service names, designs, images, and slogans are trademarks of WonderFi or its affiliates or licensors. You must not use such marks without our prior written consent. Other names, logos, product and service names, designs, images, and slogans mentioned, or which appear on the Site are the trademarks of their respective owners. Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of applicable laws and could subject you to legal action.

  1. Licence to Use the Site

The Site and all logos, pages, data, text, images, photographs, audio, video clips, artwork, code, source code, or software that are contained in the Site or otherwise accessible on the Site (collectively, the “Content”) are owned by us or our licensors. We reserve the right to change the Content and features contained in the Site at any time.  

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access the Site and its Content as permitted by these Terms. Except as otherwise permitted by these Terms, you may only use, view, copy and print any and all portions of the Site for your own use. You agree that your licence to the Site is subject to the following restrictions, which include, but are not limited to:

  1. You may not modify, adapt, sublicense, translate, rent, sell, lease, reverse engineer, decompile or disassemble any portion of the Site, or otherwise attempt to access any source code or underlying ideas or algorithms of any part of the Site;

  1. You may not reproduce, modify, display, publicly perform, distribute or create derivative works of the Site or the Content;

  1. You may not post any information via the Site that is defamatory, libelous, hateful, violent, obscene, unlawful, or otherwise offensive, as determined by WonderFi in its sole discretion, whether or not such information may be protected by law;

  1. You may not use any software, bot, tool, process or technology to index, data mine, or in any way circumvent any security measure, technological measure, control system, or any other measure that is used to protect the integrity of the Site or the Content;

  1. You may not take any actions that impose an unreasonable burden on the Site’s technological infrastructure;

  1. You may not remove or obscure any trademarks or other proprietary rights notices contained in the Site;

We may, but shall not be obligated to, review, monitor, or remove information posted by you to the Site at our sole discretion and at any time and for any reason, without notice to you. The license in this Section is revocable by us at any time. We reserve the right, at our sole discretion, to suspend or terminate your account upon any factual or alleged breach of these Terms.  

  1. Third-Party Sites

The Site may provide links to third-party sites and content that are not owned or monitored by us (“Third-Party Sites”). We make no representations about any Third-Party Sites that may be accessed from our Site. We do not endorse, approve or guarantee the accuracy of any content on Third-Party Sites and when visiting them you will no longer be governed by our Terms and Privacy Policy. You should familiarize yourself with the terms and conditions, privacy policies and data security practices of the Third-Party Sites you access. Those are the policies and practices that will apply to your use of the Third-Party Sites. If you choose to access any Third-Party Sites, you do so at your own risk. We have no control over the contents of any Third-Party Sites and accept no responsibility for such Site or for any loss or damage that may arise from your use of them.  

Links to Third-Party Sites from the Site may include links to social media features that may enable you to link, transmit or display on your own or using Third-Party Sites, certain Content from the Site. You may only use these features when they are provided by us and solely with respect to the Content identified.

  1. Third-Party Software

The Site contains third-party software that may be subject to their own licences. These licences may contain additional terms and conditions. You understand and acknowledge that such software is not licensed to you pursuant to the provisions of these Terms and that these Terms may not be construed to grant any such right and/or licence. The third-party software licences are incorporated into these Terms and by accessing the Site you also accept these licences.

  1. Disclaimer of Warranties

THE SITE, ITS CONTENTS, AND ANY FEATURES OR INFORMATION FOUND THROUGH THE SITE ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SITE AND ITS CONTENTS IS DONE SO AT YOUR OWN RISK.

NEITHER WonderFi NOR ITS PARENT, SUBSIDIARIES, AFFILIATES, OR THEIR RESPECTIVE AGENTS OR REPRESENTATIVES MAKE ANY WARRANTY, REPRESENTATION, OR ENDORSEMENT WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, SUITABILITY, ACCURACY, CURRENCY, OR AVAILABILITY OF THE SITE OR ITS CONTENTS. WITHOUT LIMITING THE FOREGOING, NEITHER WONDERFI NOR ITS SUBSIDIARIES, AFFILIATES OR THEIR AGENTS REPRESENT NOR WARRANT THAT THE SITE, ITS CONTENTS, OR ANY FeATURES OR INFORMATION FOUND OR ATTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR TECHNOLOGICAL INFRASTRUCTURE THAT MAKES THE SITE AVAILABLE TO YOU IS FREE OF VIRUSES, MALICIOUS CODE OR OTHER TECHNOLOGICALLY HARMFUL COMPONENTS.

  1. Limitation of Liability

Except where such exclusions are prohibited by applicable law, under no circumstance will WonderFi nor its parent, subsidiaries, affiliates or their respective directors, officers, employees, agents, Site providers, contractors, licensors, licensees, suppliers, or successors be liable for negligence, gross negligence, negligent misrepresentation, fundamental breach, damages of any kind, under any legal theory, including any direct, indirect, special, incidental, consequential, or punitive damages. This includes any of the foregoing resulting from, but not being limited to, intellectual property infringement, inaccuracy of Content provided by the Site, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, breach of privacy, or otherwise, even if you were allegedly advised or had reason to know. WonderFi will not be liable for any damages arising out of or in connection with your use, or inability to use, or reliance on the Site, the Content, any linked websites or such other Third-Party Sites, materials, postings, or information thereon even if you were allegedly advised or had reason to know.

In no event shall the aggregate liability of WonderFi, whether in contract, warranty, tort, product liability, strict liability or any other legal theory, arising out of or relating to the use of the Site exceed any amount paid by you during the one (1) month prior to the date of any claim.

  1. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless WonderFi, its subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (i) your violation of any third-party rights; (ii) your breach of these Terms; or (iii) your use of the Site, or any use of the Site’s Content, features and products other than as expressly authorized in these Terms.

  1. Communications

Notices that we give you (other than notices of amendments to these Terms, which is discussed in Section ‎‎1 of these Terms) will be emailed to you at the address provided, or posted in a conspicuous area of the Site suitable to the notice. It is your responsibility to periodically review the Site for notices.

  1. Changes to the Site and Termination

WonderFi strives to consistently improve the Site’s offerings. In improving the Site, we may change, modify, replace, add or remove features, content and functionalities. If we make changes to the Site that materially impact your use of the Site, we will email you at the address provided.

WonderFi may (a) change, suspend or discontinue any aspect of the Site; or (b) terminate your access or licence to any or all parts of the Site at any time, with or without cause, with or without notice, effective immediately, which may result in the destruction of information associated with your use of the Site. WonderFi may also impose limits on certain features and Site or restrict your access to parts of the Site without notice or liability. Your continued use of the Site following notification of any changes to these Terms constitutes acceptance of those changes.  

  1. Governing Law

The Site and these Terms shall be governed by and construed in accordance with the laws of the Province of Ontario applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule and notwithstanding your domicile, residence, or physical location.
